TERMS AND CONDITIONS

These Terms and Conditions (hereinafter, the”Terms”) regulate access and use of the website www.laboratoria.la and of the mobile application (together or individually, the”Platform”), as well as transactions related to the products and/or services offered therein, regardless of the digital medium, technological support or device through which it is accessed. The Platform is managed and made available by LABORATORIA (”Laboratory” or”we”), with email address comunicaciones@laboratoria.la.

We ask you to carefully read these Terms, as well as the Privacy Policy applicable to the Platform, before using it. Accessing, browsing or using the Platform, as well as the request for any service through it, implies your express acceptance and consent to be legally bound by these Terms and the corresponding Privacy Policy. If you do not agree with what is established here, we ask you to refrain from using the Platform.

IMPORTANT: These Terms contain essential provisions relating to your rights, obligations and remedies in connection with the use of the Platform and the services provided through it, including various limitations of liability and exclusions described below.

I. Acceptance of terms and conditions

These Terms constitute a legally binding agreement between you and Laboratoria, which establish the rights, obligations and resources that derive from accessing, browsing, interacting and carrying out transactions through the Platform (the”Services” or”Platform Services”). If you act on behalf of your employer or other legal entity, you hereby declare and guarantee that: (i) you have sufficient legal capacity and authority to validly bind such entity as provided in these Terms; (ii) you have read and fully understood these Terms; and (iii) you agree, on behalf of the entity you represent, to comply with the provisions of these Terms.

By accessing, registering or using the Services, you (hereinafter, the”User”) acknowledges having read, understood and accepted to be legally bound by these Terms, as well as by Laboratoria's Privacy Policy, which regulates the collection, use and processing of your personal data.

In view of the presence of Laboratoria in different countries, the platform may contain specific sections aimed only at users residing in those territories where Laboratoria has operations. These sections will be drafted in strict accordance with applicable local regulations. For this reason, we ask you to review, in addition to these terms, the Privacy Policy and the sections corresponding to each country, available in the Next link.

II. Privacy

At Laboratoria, we are aware of the importance of privacy for our Users. The processing of personal data collected as a result of accessing or using the Platform will be governed by the provisions of our Policy of Privacy, which forms an integral part of these Terms through their incorporation by reference. We invite you to consult this Policy of Privacy, available on the Platform, in order to know in greater detail the way in which Laboratoria collects, uses, protects and, where appropriate, shares your personal information.

III. Right to Use the Services

The Services offered through the Platform are aimed exclusively at people over eighteen (18) years of age. As a result, minors will not be able to access or use the Services.

If a minor has provided personal information on the Platform, their parent or legal guardian may request the removal of such information from our records by sending an email to privacy@laboratoria.la. Once the request is received, Laboratoria will make reasonable and legally appropriate efforts to delete the corresponding information.

IV. Statements and Warranties to Laboratoria

By using this platform, you expressly represent and warrant that you are legally authorized to enter into this Agreement and that you have the right, power and capacity to enter into this Agreement and to comply with the Terms and Conditions of this Agreement.

By making use of this platform and interacting through it, you agree to:

  1. Make use of this platform only for lawful purposes.
  2. Provide us with your email address, postal address, and/or other contact details truthfully and accurately. You also agree that we may use this information to contact you if necessary (see our Privacy Policy).

V. Accounts and Registration

Access to certain Services or functionalities of the Platform can be done without the need to create an account or register. However, to make use of certain Services, the creation of a User account may be required. By registering, you agree to:

  1. Provide true, complete, accurate and up-to-date information regarding your identity and/or the user who registers during the account creation process.
  2. Keep this information up to date, correcting or supplementing it if necessary, in order to preserve its veracity and accuracy.
  3. Keep your access credentials (username, password and other associated data) confidential and refrain from disclosing them to third parties.
  4. Assume full responsibility for all activities carried out from your User account, regardless of whether you authorized them or not.
  5. Immediately notify Laboratoria of any unauthorized use of your account, loss, theft, or improper access to your credentials.

Failure to comply with any of the above obligations will constitute a violation of these Terms and may result in the immediate suspension or termination of the corresponding User account.

Restrictions on account information

You may not choose or use a user name, identifier or access credential that: (i) corresponds to the name of another person with the intention of impersonating them; (ii) violates the rights of third parties without proper authorization; (iii) falsely suggests a relationship, link or association with Laboratoria; or (iv) in the sole judgment of Laboratoria, is offensive, vulgar or inappropriate. Laboratoria reserves the right to refuse a registration or cancel any User account that contravenes these provisions.

Suspension or termination of access

Laboratoria may, at its sole discretion and without prior notice, suspend, restrict or cancel a User's access to the Services, as well as deactivate or delete the corresponding account, in the event of a breach of these Terms or when, in Laboratoria's opinion, such measure is deemed necessary or justified. Laboratoria also reserves the right to revoke access to the Platform at any time, with or without just cause.

Voluntary account cancellation

The User may cancel their account or access to the Services at any time, either through the functionality enabled on the Platform itself or by means of a request addressed to Laboratoria via email at sumate@laboratoria.la. Once the account is canceled, Laboratoria may retain your information and content for the time required to comply with the obligations deriving from applicable legislation and our legal relationship.

I SAW. User Conduct

As a condition for accessing and using the Platform and its Services, the User undertakes not to use them for: (i) illegal purposes; (ii) purposes expressly prohibited in these Terms and Conditions; or (iii) purposes other than those that Laboratoria considers reasonable, usual or compatible with the purpose for which the Platform was created.

In particular, the User undertakes to refrain from:

  1. Illegal or unauthorized use
    • Use the Platform in contravention of applicable municipal, state, federal or international laws, regulations or provisions.
    • Engage in fraudulent activities, impersonation, improper access to third-party accounts, or falsification of personal or financial information.
  2. Affection to third parties
    • Abuse, harass, intimidate, defame, threaten, or impersonate others.
    • Post, upload or transmit content that is illegal, defamatory, obscene, pornographic, offensive, inciting hatred or that, in the sole judgment of Laboratoria, is inappropriate.
    • Request, disclose or attempt to obtain passwords or other confidential information from any User.
  3. Unauthorized content and communications
    • Send unsolicited mass communications, unwanted emails (“spam”), chains, pyramid or multilevel marketing schemes.
    • Publish or disseminate content that redirects to affiliate programs, third-party promotions, or material not related to the purposes of the Platform.
  4. Use of automated tools or intrusion techniques
    • Access the Platform using robots, spiders, scrapers or any other automated means without prior written authorization from Laboratoria.
    • Interfering or attempting to interfere with the proper functioning of the Platform, its servers, networks or systems, including loading viruses, spyware, adware, worms, malicious code or other harmful elements.
    • Take actions that, in the sole judgment of Laboratoria, impose a disproportionate or undue burden on the Platform's technological infrastructure.
  5. Interference with rights or security measures
    • Violate or encourage the violation of intellectual, industrial or any other type of third party property.
    • Evade, disable or interfere with security features of the Platform, including those that restrict unauthorized copying or use of content, or perform reverse engineering acts on the Platform software, unless expressly permitted by applicable law.
  6. Account transfer or misuse
    • Share, sell, transfer or allow access to your User account, passwords or login credentials to third parties.
    • Use the Platform or its content for unauthorized commercial purposes, including advertising or own promotions.
  7. Attempts or support for prohibited behavior
    • Attempt to perform any of the behaviors described above, or to support, facilitate or allow third parties to engage in them.

The User undertakes to comply at all times with the laws and regulations applicable in their country of residence and in the country from which they access the Platform. Laboratoria will not be responsible for the misuse, illegal or contrary to morals or good customs that third parties make of the Platform.

VII. Responsibility

The use of the Platform is carried out under the sole responsibility of the User. To the extent permitted by applicable law, no liability will be accepted for the following losses, whatever their origin:

i. Loss of revenue or sales;
ii. loss of business;
iii. loss of profits or loss of contracts;
iv. loss of expected savings; and
v. loss of management or office time.

Due to the open nature of the Platform and the possibility of errors occurring in the storage or transmission of digital information, the accuracy, integrity or security of the information transmitted or obtained through it is not guaranteed, unless otherwise expressly indicated.

Laboratoria will not be responsible for damages or losses suffered by the User as a result of system, server or Internet failures. Likewise, it will not assume any responsibility for the possible presence of viruses that could infect the User's equipment or devices resulting from access, use or exploration of the Platform, or the transfer of data, files, images, texts, audios or other digital content available on it.

Under no circumstances may Users ascribe to Laboratoria any liability or demand compensation for loss of profits, indirect damages or losses resulting from technical difficulties, service interruptions or system or Internet network failures.

Laboratoria does not guarantee the uninterrupted or error-free availability, access or use of the Platform. The system may be temporarily unavailable due to technical failures, interruptions in the Internet service, causes of force majeure or decisions specific to Laboratoria, in such cases seeking its restoration in the shortest possible time, without giving rise to any liability.

Finally, Laboratoria will not be responsible for errors or omissions in the content published on the Platform.

VIII. Content and Licenses

Laboratoria and/or its parent, controlled, subsidiary or subsidiary companies reserve all rights, including intellectual and industrial property rights, associated with the Services, its platforms, the contents of its screens, programs, databases, networks, codes, development, software, architecture, hardware, content, information, technology, integration phases, functionalities, domains, files that allow the User to access and create their Account, sales tools, brands, patents, copyrights, designs and models industrial names, trade names, among others, and declares that they are protected by current national and international laws.

Content Definitions: There are several types of content involved in providing and operating the Services. Throughout the rest of these Terms, we will use the term”contends“to refer to all text, links, graphics, images, photos, music, software, audio, video, information, copyrights, trademarks, and other intellectual property that comprise or are included within the Services.

The term”Platform content“means the Content that Laboratoria makes available to you through the Services, including any Content licensed to Laboratoria by a third party (excluding User Content) . “User Content“means Content published, uploaded, sent, transmitted or made available in any other way, through the Services by you, the User, whether or not you are a registered User, and whether or not you are a User who owns or has created the Content, including all copyrights, inventions and other Intellectual Property rights, so you will be responsible for the published content and for having the necessary rights or having requested the consent that is required, without Laboratoria being responsible for any violation of your part. “Collective Content“collectively refers to all Content available through the Services, including Platform Content and User Content.

Content Ownership: All Content on the platform is the property of Laboratoria or third-party licensors. Using the Services does not grant you any rights over the use or control of any Platform Content, except for the rights expressly granted by this Agreement. Any copying, republishing, redistribution or creation of works based on Platform Content, including caching, framing, or any similar medium, is strictly prohibited without the prior written consent of Laboratoria. In no case will it be understood that the User will have any type of right over them, except to use the Services as provided in these Terms and Conditions. The misuse or contrary to current regulations of Laboratoria's intellectual and industrial property rights, as well as their total or partial reproduction, is prohibited, unless expressly authorized in writing by Laboratoria.

The Services and Content of the platform are protected by copyright, trademark and other laws in countries where Laboratoria has a presence. Except as expressly provided in these Terms, Laboratoria and its licensors own all rights, titles and interests in the Services and Platform Content, including all associated intellectual property rights. You may not remove, alter or hide any copyright, trademark, service mark, or other proprietary rights notices incorporated into or that accompany the Services or Platform Content. Laboratoria will keep all rights to all intellectual property that comprises or is included in the Platform Content, including but not limited to all trademarks, graphics, logos, designs, page headers, button icons, scripts, service names, software code, appearance (Look and Feel) of the Services, and the works protected by copyright and/or trademarks and/or image of Laboratoria and its other subsidiaries or companies that are members of the business group to which Laboratoria belongs.

You should assume that everything you read and see on the Services is copyrighted or otherwise protected and is the property of Laboratoria, or a third party that has authorized Laboratoria to use such content. Unless otherwise expressly stated, nothing you read or see in the Services or other Collective Content, or any source code or HTML code that Laboratoria uses to generate the Services can be copied, reproduced, modified, distributed, transmitted, republished, or used for commercial use without the prior written consent of Laboratoria or the respective owner of the Content, except as provided in these Terms and Conditions or permitted by applicable law.

No Collective Content may be modified, copied, distributed, reproduced, downloaded, Scraped, displayed, published, transmitted or sold in any form or by any means, in whole or in part, without the prior written permission of Laboratoria, except for your own User Content that you legally publish on the Services. Except for your own User Content, you may not upload or post Collective Content to any Internet, Intranet or Extranet site, or incorporate the information into any other database or compilation, and any other use of Collective Content is strictly prohibited.

Laboratoria is not the publisher or spokesperson for User Content, or any other information on the Services provided by third-party content providers, and Laboratoria is not responsible for any claims related to such information.

Any mention in the Services of products and/or services provided by third parties is for informational purposes only and does not constitute an endorsement or recommendation from Laboratoria. Laboratoria assumes no responsibility for these products and/or services.

The Laboratory license to you: Subject to the User's compliance with these Terms, Laboratoria grants a limited, non-exclusive, non-transferable, non-sublicensable, free and revocable license to access, view, download, print and use the Platform Services only for personal and legitimate purposes, as provided in this document.

The User undertakes not to: (i) use, copy, reproduce, adapt, modify or create derivative works based on the Platform or Services; (ii) distribute, lease, sell, assign, tender, transfer, publicly communicate, transmit, broadcast or otherwise exploit the Services; or (iii) perform any act that has not been expressly authorized in these Terms.

No license or right shall be understood to have been granted by implication, estoppel or in any other way, except those expressly provided for in this document. Unauthorized use of the Services constitutes a violation of these Terms and may involve a violation of applicable laws, including those relating to copyrights, trademarks, industrial property, communications, or any other binding matter.

Laboratoria reserves the right to revoke at any time, and without the need for prior notification, the license granted here, and the User is obliged to immediately cease any use of the Platform and the Services.

Transfer of Rights: Laboratoria may, at any time and at its sole discretion, assign all or part of its rights and obligations under these Terms. In the event of such a transfer, Laboratoria will be released from the obligations assumed against the User with respect to the assigned party, and the transferee is the one who subrogates these obligations.

The User may not assign, transfer or delegate the rights or obligations deriving from these Terms without the prior written consent of Laboratoria.

IX. Third Party Advertising and Marketing

Laboratoria may use third-party advertising and marketing to publish advertisements, information and other promotions, both through the platform and through other mechanisms to provide such materials outside the Services on third-party websites or platforms. By accepting our Terms, you agree to receive such advertising and marketing from Laboratoria and our partners. In some cases, if you do not want to receive such advertising, you can notify us in writing using the contact information provided below. Laboratoria may compile and disclose information about you and your use of the Services anonymously as part of a customer profile or similar report or analysis. You agree that it is your responsibility to take reasonable precautions in all actions and interactions with any third party with whom you interact through the Services.

X. Copyright Policy

All the contents of the platform, including texts, photographs, graphics, images, icons, technology, software, and other audiovisual content, as well as their graphic design and source codes, constitute a work whose property belongs to Laboratoria, without any of the exploitation rights over them being transferred to the user beyond what is strictly necessary for the correct use of the platform, and regardless of whether they are susceptible to intellectual property or not.

In addition, all brands, trade names or distinctive signs of any kind that appear on the platform are the property of Laboratoria, without it being understood that the use or access to them gives the user any right over them.

The total or partial reproduction, exploitation, distribution, modification, transfer or public communication of the contents and any other act that has not been expressly authorized by the owner of the exploitation rights is prohibited. Any previously unauthorized use is considered a serious breach of the author's intellectual or industrial property rights.

Laboratoria respects the intellectual property of others. Our policy is to respond quickly to legitimate copyright claims and other intellectual property infringements. We will immediately process and investigate notices of alleged infringement and take appropriate action under applicable law that protects copyright and other applicable intellectual property laws. Upon receiving notifications that substantially comply with applicable copyright protection law, we can act quickly to remove or disable access to any material that is alleged to be infringing or claimed to be the subject of infringing activity, and we can act quickly to remove or disable access to any reference or link to the material or activity that is alleged to be infringing. We may terminate access for Users of the Services who are infringing.

To notify Laboratoria of a violation, you must send a written notification to the”Department of Laboratory Intellectual Property Notifications” to privacy@laboratoria.la

Keep in mind that you may be liable for damages (including costs and attorney fees) if you materially wrongly state that an activity is infringing your copyright.

XI. Linking and Framing (“Framing”)

Laboratoria grants you a limited, revocable and non-exclusive right to create a hyperlink to the Services platform, provided that the links do not represent Laboratoria or the Services in a false, misleading, derogatory or offensive subject matter. You may not use any Laboratoria logo or other graphics or trademarks as part of the link without express permission. “Frame” (Framing) or “reflect” (mirroring) the Services or any of their content is prohibited without the prior written consent of Laboratoria.

The platform may provide links or hyperlinks to other Internet sites, over which it exercises no control. You acknowledge and agree that Laboratoria is not responsible for the availability of such external sites or resources and does not endorse or is responsible for any content, advertising, products or other materials from such external sites or sources. The presence of links to other websites does not imply a partnership, relationship, approval, or endorsement by Laboratoria with those sites and their contents. You further acknowledge and accept that Laboratoria will not be responsible, directly or indirectly, for any damage or loss caused or supposedly caused by or in connection with the use or reliance on such content, goods or services available on or through any external site or resource.

XII. Notifications

You agree to receive from Laboratoria all communications, including legally required notifications, agreements, announcements, or other information related to the Services electronically (together, the”Notifications”). Laboratoria may provide such Notifications by posting them on or within the Services or by email to your email address registered in the User Account. In the event that you change your address or email account, you agree to update your User Account information from time to time to ensure that your messages are not sent to another person.

You may choose not to receive certain notifications in connection with the Services by completing the opt-out process provided with each email message or by logging into your User Account and modifying your settings to stop receiving further messages. By opting out of receiving notifications, you understand that we may not be able to communicate important information to you. Please note that we may need to contact you regarding certain announcements or notifications on the Service, as long as this contact is necessary to comply with our legal obligations.

XIII. Termination

Laboratoria may modify, suspend or interrupt the Services, in whole or in part, at any time and for any reason, including the availability of specific functions, features or content, without the need for prior notification. It may also establish limitations on access or use of certain Services, restrict functionality or prevent the User's access to the Platform in whole or in part, with or without prior notice.

Laboratoria may terminate or suspend access to and use of the Services by the User immediately and without prior notification, at its sole discretion and for any reason it deems justified. In this case, the User must immediately cease all access or use of the Services and undertakes not to access, register or use the Platform again without the express authorization of Laboratoria.

Additionally, Laboratoria may delete, modify or disable content, as well as suspend or cancel access to User accounts at any time, with or without justified cause, including, but not limited to, in response to complaints or requests from authorities or third parties related to such content.

The User acknowledges that Laboratoria may adopt technical, legal or other measures to block, cancel or restrict their access to the Services, without limiting other rights or actions that correspond to Laboratoria in accordance with applicable legislation. Use of the Services or any of their components after termination will constitute a breach of these Terms and a violation of the corresponding intellectual property rights.

All provisions of these Terms that by their nature must survive termination, including but not limited to those relating to intellectual property, limitation of liability, compensation and warranty waivers, will remain in effect after termination.

XIV. Compensation

The User undertakes to compensate, defend and keep Laboratoria, its parent companies, subsidiaries, affiliates, clients, suppliers, directors, directors, directors, directors, employees and representatives, in peace and security against any claim, demand, action, liability, damage, loss, cost or expense (including reasonable attorneys' fees and expenses) deriving, directly or indirectly, from: (i) access to or use of the Platform by the User; (ii) the breach of these Terms; (iii) the violation of property rights intellectual or any third party right; or (iv) the unauthorized use of the User's account by third parties with their credentials.

XV. Full Agreement

These Terms, together with Laboratoria's Privacy Policy and other documents incorporated by reference, constitute the entire agreement between the User and Laboratoria regarding access to and use of the Platform and Services.

The use of the Platform is understood as granted for the benefit and enjoyment of the User, with the provision of the Services being the only and sufficient consideration to which the User is entitled with respect to any content, contribution or participation made within the Platform.

The Privacy Policy, as well as the particular policies, guidelines or terms applicable to certain Services, form an integral and inseparable part of these Terms and can be consulted on the Platform through the corresponding links or on the specific pages enabled for this purpose.

XVI. Waiver and Severability

Laboratory's failure to exercise any remedy or enforce any part of the Terms at any time will not operate as a waiver of any remedy or of the right to enforce any part of the Agreement at any later time. Any waiver or modification of the terms hereof by Laboratoria must be in writing signed by an authorized Laboratoria official and make express reference to the applicable provisions of the Agreement. If a provision of the Terms is determined to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary for the Terms set forth here to remain in full force and effect and to be enforceable.

VII. Applicable Law and Jurisdiction

These Terms and any action related to them will be governed by the corresponding laws applicable to Peru and in particular with respect to data messages, electronic contracting and electronic commerce, waiving the jurisdiction of any other court that may apply to you because of your present or future address or any other reason. All claims, legal proceedings or litigation that arise in connection with the Services will be brought only in the federal courts of Peru.

In any action or proceeding to enforce or interpret this Agreement, the prevailing party shall be entitled to recover from the other party its costs and expenses (including reasonable attorneys' fees) incurred in connection with such action or proceeding and to enforce any judgment or order obtained.

Any dispute arising from this Agreement, its existence, validity, interpretation, scope or compliance, will be subject to applicable laws and to competent federal or local courts, as appropriate for the matter. If the jurisdiction is local, for the interpretation, fulfillment and execution of this contract, the parties expressly submit to the jurisdiction of the competent courts of Lima, Peru, thus renouncing any jurisdiction that may apply to them by reason of their present or future domicile.

VIII. Transfer and Assignment

This Agreement and the rights and obligations under this document cannot be assigned, in whole or in part, by you without the written consent of Laboratoria. Laboratoria, for its part, may at any time assign this Agreement and the rights and obligations under this document to any third party, simply by notifying the User ten (10) days in advance by giving written notice.

XIX. Amendments to our Terms

Laboratoria may modify these Terms from time to time. The most recent version will govern the processing of your information and will be found at https://laboratoria.la/terms indicating the date update at the top as <Última Actualización><>. 

Amendments to the Terms will be effective as soon as they are posted. We may also notify you of changes by email, particularly if we believe that they may directly affect you. By continuing to access the Laboratory platform or using the Services after the changes to the Terms take effect, you agree to be bound by the new Terms. In addition, all actions that take place at the time are governed by the Terms and Conditions in force at that time, so we suggest that before carrying out any interaction or transaction with the platform, you review the Terms and Conditions that govern at that time.
